We regularly advise businesses, executives, families and tax-exempt entities on various aspects of federal, state and local tax matters. The Tax Department works closely with the members of the Business Law Department in the organization of new business organizations, advising clients regarding partnership and LLC agreements, shareholder agreements, business succession planning, business acquisitions and divestitures, transactions between businesses and their owners, executive compensation, and day to day operational matters. We also provide tax advice to our charitable, trade association, municipal tax district and private club clients on such matters as obtaining and maintaining tax-exempt status, compensation, prohibited transaction issues and tax-exempt financings.

The Tax Department, working with the Trusts and Estates Department, has a long history of providing estate and wealth transfer tax planning for our individual clients. We utilize sophisticated and tax-efficient structures as appropriate for the particular client and his or her family. This may include such vehicles as sales to grantor trusts, family limited partnerships, split-interest trusts, charitable trusts and generation-skipping trusts.
